1) I have a question concerning DBA's (Doing Business As). If one is going to incorporate as an S corporation does one still have to visit the local county clerk to file a DBA for clarification for banking purposes.
It is my understanding that the DBA certificate clarifies to banks and other institutions that one is the legal owner of the particular business in question.
2) Exactly what order should I do the various startup necessities
a. file for business license
b. file papers for incorporation status, and how long does it take to process the incorporation papers in the state of Georgia
c. talk to a cpa or attorney
My reason for asking in what order should I do the following is because if I am correct my incorporation filings, one of the most important things is for the state to check and see if there is already an corporation in existence under the presumed name, so given that I must have a company name decided.
But don't I have to file for a business license under this same name, so to me it makes sense to file the incorporation papers first to see if I am granted the corporations status first before I apply for the business license. I would hate apply for a business license under a business name only later to find out that I cannot incorporate under that name.
Another question is what important tax papers do I have to contact the IRS about before I hire employees and begin business. I am aware of tax identifiation numbers, w2 forms, but what else from both the state and federal agencies. Don't want to get caught with my pants down. I am strictly by the book (The only way to be in business).
I also would like for anyone willing to e-mail me a copy of a few basic items I would very much appreciate it. I would like to see different business cards, flyers, services agreement contracts, and subcontract agreements. E-mail them to me at JulondaClayton@aol.com. I already have my forms and designs for each but you can always learn and pattern things from others.
